Terms & Conditions

These Terms and Conditions govern the use of services and products provided by OZQA (“OZQA”, “we”, “us”, or “our”). By engaging our services, purchasing our products, or using our website, you agree to these terms.

1. Scope of Services

OZQA provides consulting services within:

  • Quality Management Systems (QMS)

  • Pharmacovigilance

  • Regulatory compliance

  • Pre-developed templates and documentation packages

All services are delivered based on individual agreements, proposals, or statements of work (SOW).

 

2. Digital Products and Templates

OZQA offers pre-developed templates and documentation packages for purchase.

By purchasing these products, you acknowledge and agree that:

  • Templates are delivered as downloadable Word files (.docx)

  • The templates are approximately 98% pre-filled, designed to significantly reduce implementation time

  • The remaining content must be reviewed, adapted, and finalized by the client to fit their specific organisation, scope, and regulatory requirements

 

No Refund Policy

Due to the nature of digital products:

  • All purchases are final and non-refundable

  • Once the purchase is completed and access/download is provided, the order cannot be cancelled, returned, or refunded

 

3. Intellectual Property Rights

Unless otherwise agreed in writing:

  • All templates, methodologies, and materials remain the intellectual property of OZQA

  • Purchase grants a non-exclusive, non-transferable license for internal business use only

  • Templates may not be:

    • Resold

    • Distributed

    • Shared externally

    • Used for commercial resale or consulting purposes

 

4. Client Responsibilities

The client agrees to:

  • Ensure proper review and customization of templates and deliverables

  • Provide accurate and complete information for consulting services

  • Ensure internal implementation aligns with applicable regulations

OZQA is not responsible for misuse or incorrect implementation of templates.

 

5. Fees and Payment Terms

  • All fees are outlined in the agreed proposal or at checkout

  • Payments for digital products are due immediately upon purchase

  • Consulting invoices are payable within [e.g. 14 days] unless otherwise agreed

  • OZQA reserves the right to suspend services in case of overdue payments

 

6. Confidentiality

Both parties agree to:

  • Treat all confidential information as strictly confidential

  • Not disclose such information to third parties without prior consent

This obligation remains in effect after termination.

 

7. Limitation of Liability

  • OZQA provides advisory services and documentation based on industry expertise and best practices

  • Templates are provided as guidance tools and not as guaranteed compliance solutions

  • OZQA does not guarantee:

    • Regulatory approval

    • Certification outcomes

    • Audit success

OZQA shall not be liable for:

  • Indirect or consequential damages

  • Loss of business, revenue, or profit

Total liability is limited to the amount paid for the specific service or product.

 

8. Regulatory Responsibility

The client retains full responsibility for:

  • Compliance with applicable laws and regulations

  • Final implementation of templates and recommendations

  • Interactions with regulatory authorities and notified bodies

 

9. Delivery and Acceptance

  • Digital products are considered delivered upon successful download access

  • Consulting deliverables are considered accepted unless written objections are raised within a reasonable timeframe

 

10. Termination

Either party may terminate consulting agreements:

  • With written notice as agreed

  • Immediately in case of material breach

Work completed up to termination will be invoiced.

 

11. Force Majeure

OZQA is not liable for delays or failure due to events beyond reasonable control.

 

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Denmark.
Any disputes shall be subject to the jurisdiction of Danish courts.

 

13. Changes to Terms

OZQA reserves the right to update these Terms at any time. The latest version will always be available on our website.
